You probably need to change the hal from uniprocessor to smp, try changing the "computer'' in device manager from acpi uniprocessor to acpi multiprocessor. Sorry to top post, using blackberry. IIRC, win2k3 should automatically use the right hal. What version of xen are you running? I had this issue until I updated to xen 3.2.x.
