Everything looks good here. What all did you do when upgrading from rails 2 to rails 3? There are a lot of changes in the script and config folders between the two versions. Generate a new rails3 app, copy over everything from the script folder into script folder of your app. Then try installing the plugin again with: ruby script/rails plugin install git://github.com/rails/rails_upgrade.git No need to use sudo with the command, unless your application directory is owned by root.
