Syslinux - Jun 2006 - Do I need LILO or Grub for pxelinux network booting

Hello,

perhaps a stupid question.
I boot via network and use an initrd.
Do I have to prepare an MBR?
If yes, where have I to prepare it?
In the boot-sector of the initrd?
Or in the boot-sector of the drive that holds the root-file-system  
that's mouted after initrd?

Sorry but I want to understand this.
